印度客户要跟我合作建厂

说到底，他想要的是我们的技术工艺，想自己垄断印度市场。想找我合作。这种事还是头一回碰上，我又不懂工艺这些，也没有资金跟他合伙。请教高人，如何应对？
以下是他的邮件内容：
Dear Mr Chao,
The program can be either of the two following ways;

First way, your company can provide us preliminary feasibility report, technical know how, critical plant and equipments and detailed engineering of the plants which can be made in india. Plant commssioning as per product quality target.the company will be solely owned by Indian partner.

Second way could be a JV company where, we can provide land, infrastucture, raw materials and part project finance where as your company can provide technical know how, plants and machnery, erection and commissioning. It will be a public limited share holding company. In any of the above way, we can discuss to proceed to put up plant in india.Pls send your view points.
